LAW SERVICES FOR REPRESENTATIVE OFFICES OF FOREIGN COMPANIES IN BELARUS

A representative office of a foreign company in the Republic of Belarus (Representative Office) is a separate division of such company, located in the Republic of Belarus.

The Representative office carries out its activities on the basis of a special permit to be obtained from the Ministry of Justice of the Republic of Belarus.

Apart the legislation of the Republic of Belarus, the activity of the Representative Office is governed by the regulations, approved by the head company. 

The Representative Office does not have the right to engage in business activities in the Republic of Belarus and cannot receive payments for the sale of goods (provision of services) on its accounts in Belarusian banks.

Permitted activities to be carried out by the Representative Office: 

- assistance in the implementation of international treaties of the Republic of Belarus on cooperation in the field of trade, economics, finance, science and technology, etc.;

- market studies; 

- exploring  investment opportunities;

- establishing commercial entities with the participation of foreign investors;

- sale of tickets and booking of seats for aviation, rail, road and sea transport companies;

- other activities considered useful to the community.

The permit for opening the Representative Office is valid for an indefinite period
(from 03/27/2022).

LEGAL SERVICES ON OPENING A REPRESENTATIVE OFFICE IN BELARUS 

1. Advising on the form of incorporation of activities on the territory of the Republic of Belarus (establishing a legal entity or opening a Representative Office);
2. Opening a Representative Office (including preparation of a package of documents: decision on opening a Representative Office, power of attorney for the Head of the Representative Office, Regulations on the Representative Office);
3. Registration with the tax authorities, Social Security Fund and state insurance authorities (Belgosstrakh);
4. Support in opening a bank account.

LEGAL SUPPORT  OF ACTIVITY OF THE REPRESENTATIVE OFFICE 

1. Advising on regulatory issues of activities in Belarus;
2. Advising on tax issues of the Representative Office’s activities;
3. Supporting the procedures of changing the Head of the Representative Office, changing the name and legal address of the Representative Office;
4. Advising on employment issues (obtaining work permits for foreign employees);
5. Ensuring compliance of the activities carried out by the Representative Office with the regulations;

LEGAL SERVICES ON LIQUIDATION OF ACTIVITIES OF THE REPRESENTATIVE OFFICE IN BELARUS

1. Preparation of a draft decision on the liquidation of the Representative Office;
2. Preparation of draft notifications on the liquidation of the Representative Office;
3. Consulting on termination employment for the Representative Office's employees;
4. Preparation of documents of the Representative Office for transfer to the state archive;
5. Support in closing bank accounts;
6. Obtaining documents from state authorities, confirming the fact of the Representative Office' activities liquidation (exclusion from the state register).
